By accessing or using SubaPOS (the "Service"), including the website, desktop application, cloud dashboard, and companion apps, you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, do not use the Service. The Service is operated by Clever Tech Ltd, a company registered in Ghana.
SubaPOS provides point-of-sale software for restaurants, retail, and hospitality businesses. Features include checkout, inventory, reporting, optional cloud sync, and companion apps such as kitchen display, pickup screens, and staff tablets. Available features depend on your plan and product edition.
To use the Service you must: • Be at least 18 years old, or have consent from a parent or legal guardian. • Provide accurate registration, business, and billing information. • Keep your credentials secure and notify us of unauthorised access. • Use only licenses and subscriptions you are entitled to under your plan. You are responsible for activity under your account and for configuring staff access appropriately.
You retain ownership of the business data you enter into SubaPOS, including sales, customer, inventory, and staff records. You grant us a limited licence to host, process, back up, and transmit that data solely to provide the Service. You are responsible for the accuracy of your records and for complying with applicable tax, consumer, and data-protection laws in your jurisdiction.
You agree not to: • Use the Service for unlawful purposes or to process illegal transactions. • Attempt to reverse engineer, copy, resell, or redistribute the software except as permitted in writing. • Interfere with the Service, other users, or our infrastructure. • Upload malware or attempt unauthorised access to systems or data. • Misrepresent your identity or business when requesting support or licenses. We may suspend or terminate access for violations of these Terms.
Paid plans, add-ons, and license renewals are billed according to the pricing published on our website or agreed in writing. Subscriptions renew automatically unless cancelled before the renewal date where applicable. Fees are generally non-refundable except where required by law or explicitly stated otherwise. Offline standalone licenses are subject to the renewal terms presented at purchase.
SubaPOS is designed to continue operating locally when internet connectivity is unavailable. Cloud sync, online licensing checks, and remote features require a working connection. We do not guarantee uninterrupted availability of cloud services and may perform maintenance that temporarily affects online features.
The Service, including software, branding, documentation, and website content, is owned by Clever Tech Ltd and protected by intellectual property laws. These Terms do not transfer ownership of our software or trademarks to you. You receive a limited, non-exclusive licence to use the Service according to your plan.
The Service is provided on an "as is" and "as available" basis to the extent permitted by law. We do not warrant that the Service will be error-free or meet every business requirement. You are responsible for maintaining backups and verifying totals, tax calculations, and reports used for business decisions. To the maximum extent permitted by law, Clever Tech Ltd is not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability for claims relating to the Service shall not exceed the fees you paid us in the twelve months before the claim arose.
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, fail to pay applicable fees, or use the Service in a way that creates risk for us or other users. Provisions that by nature should survive termination — including ownership, disclaimers, and limitations of liability — will continue to apply.
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of Ghana. Disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Ghana, unless mandatory local consumer protection laws require otherwise.
